Legal form

Context

We need an entity to own land and take in grants and donations, but the right form depends on the country, and that is still open (candidate countries).

Options considered

The forms in play follow our two candidates (see legal entity): an e.V. in Germany, an Associação in Portugal, with a charitable company or IPSS as later possibilities if we earn income or qualify.

Decision

Defer the choice. Stay informal and lean until we either commit to a country or hit a moment that forces an entity, such as a grant award or a land deal. When that comes, default to the simplest fitting non-profit in the chosen country.

Why

Form follows country, and committing now would just lock in guesses. The cost of waiting is low while we are pre-funding and pre-site.

Constraints

  • Pre-funding and pre-site; no pressing need for an entity yet.
  • Whatever we pick must be able to hold land and receive grants.

Revisit when

  • We commit to a country.
  • A grant or land opportunity requires a registered entity.
